Please read these Terms of Service ("Terms") carefully before using PropHaven (the "Service"), a product of Byteware, a software company registered in Zimbabwe ("we", "us" or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account or using any part of the Service, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement and accept these Terms on behalf of yourself or the organization you represent.
2. Description of Service
PropHaven is a cloud-based property management platform that enables landlords and property management firms to manage properties, tenants, leases, payments, maintenance requests, communications and related workflows. The Service is provided on a subscription basis (including free tiers and paid plans) as further described in our pricing documentation.
We reserve the right to modify, suspend or discontinue any part of the Service at any time, with reasonable notice where practicable.
3. Early Access Program
PropHaven currently offers an Early Access Program ("EAP") for landlords, property managers and related professionals ahead of our public launch. By participating in the EAP, you acknowledge and agree that:
- The Service is still under active development and may contain bugs, incomplete features or performance issues.
- Features available during the EAP may change, be removed or be replaced before the public launch.
- EAP access is provided free of charge as indicated at registration. Founding-member pricing offered during the EAP will be locked in for your account as described at the time of your enrollment.
- We may ask you to provide feedback. Your participation in feedback sessions is voluntary but appreciated.
- We may terminate or modify EAP access at any time with reasonable notice.
4. Account Registration
To use the Service, you must register for an account. You agree to:
- Provide accurate, complete and current registration information.
- Maintain the security of your password and not share account credentials.
- Notify us immediately of any unauthorized access or use of your account.
- Take responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that are inactive for an extended period.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe the intellectual property or privacy rights of others
- Upload or transmit malicious code, viruses or harmful content
- Attempt to gain unauthorized access to any system or network
- Use the Service to harass, threaten or harm any person
- Reverse engineer, decompile or attempt to extract the source code of the Service
- Resell or sublicense access to the Service without our written consent
- Use automated scraping tools or bots to extract data from the Service
6. Your Data and Content
You retain all ownership rights to the data and content you upload to or create within the Service ("Customer Data"). By using the Service, you grant PropHaven a limited, non-exclusive license to process, store and display your Customer Data solely for the purpose of providing the Service to you.
You are responsible for the accuracy and legality of Customer Data you enter into the Service, including tenant personal information. You warrant that you have the right to share this data and that doing so complies with applicable data protection laws.
You can export your Customer Data at any time. Upon termination of your account, we will make Customer Data available for export for 30 days, after which it will be deleted per our Privacy Policy.
7. Intellectual Property
The Service, including its software, design, features, trademarks, and content created by PropHaven, is owned by PropHaven and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.
If you provide feedback, suggestions or ideas about the Service, you grant PropHaven the right to use that feedback without any obligation to compensate you or keep it confidential.
8. Payment Terms
Some features of the Service require a paid subscription. Payment terms, pricing and plan details are described in our Pricing page and may be updated from time to time. By subscribing to a paid plan:
- You authorize us to charge your payment method on the billing cycle you select (monthly or annual).
- Subscriptions renew automatically unless cancelled before the renewal date.
- We do not offer refunds for partial subscription periods, except where required by law.
- We reserve the right to change pricing with at least 30 days' notice to existing subscribers.
Founding-member pricing locked in during the Early Access Program is honoured as described at the time of your enrollment.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE or NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE or FREE OF VIRUSES OR HARMFUL COMPONENTS.
During the Early Access Program, this disclaimer applies with particular force as the Service is under active development.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROPHAVEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL or PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA or GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM or (B) USD $100.
11. Indemnification
You agree to indemnify, defend and hold harmless PropHaven and its officers, directors, employees and agents from any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, your violation of these Terms or your infringement of any third-party rights.
12. Termination
Either party may terminate this agreement at any time. You may close your account through account settings or by contacting us. We may terminate or suspend your access immediately if we determine that you have violated these Terms, without liability to you.
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, limitation of liability and indemnification) shall survive.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of Zimbabwe, without regard to its conflict of law principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Zimbabwe, unless otherwise required by applicable law.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice in the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
